ARTICLE I. Organization

Toluna SAS, with a capital of 2 600 000 Euros, situated at 1 Bis Rue Collange 92593 Levallois-Perret Cedex, and registered under n°432033181 with the Trade and Companies Register, is organizing a free competition with no purchase necessary called “Visit a Friend”, which will take place twice per month starting November 1st and ending November 30th.
The competition is open to all Toluna US members over 18 years of age and resident of the 48 continental United States (excluding Alaska and Hawaii) with the exception of employees and representatives of the organizer company, its client, its subcontractors and its partners, members of their family and their direct or indirect parents or relatives.

The following promotion is intended for the 48 contiguous United States and D.C. only and will be construed and evaluated according to United States laws. Do not enter in this contest if you are not a legal resident of the 48 contiguous United States or D.C., 18 years or older. VOID IN ALASKA, HAWAII AND WHERE PROHIBITED.

ARTICLE II. Participation

In order to participate, members need to:

Send an email containing usernames of both participants to VisitAFriend@toluna.com
Each Toluna User(from the VisitAFriend participation submission) needs to complete at least 10 surveys until the end of the month in which they have registered
Have a verified Toluna.com account that has not been blocked for abuse at any time prior to submitting their participation.

1. How to Enter: Beginning at 12.01 a.m. Eastern Time (“ET”) on November 1st, 2017 you may enter the “Visit A Friend” sweepstakes by sending an email to VisitAFriend@toluna.com with the username of both participants. Incorrect and incomplete entries are void. These official rules are also available on the Website.
There is a limit of one (1) entry, per valid email address, per eligible person, per month. For purposes of this Sweepstakes, a “day” begins at 12:00 a.m. ET and ends at 11:59 p.m. ET unless specified otherwise. If multiple entries are received in a month, only the first entry will be accepted and additional entries will be disqualified. Multiple participants are not permitted to share the same email address. Any attempt by you to obtain more than one (1) entry per month by using multiple/different email addresses, identities, registrations or logins, or any other methods may void your entries and you may be disqualified from the Promotion. Any use of robotic, repetitive, automatic, programmed or similar entry methods or agents (including, but not limited to, sweepstakes entry services) will void all entries by you. In the event of a dispute as to any online entry, the authorized account holder of the email address used to enter will be deemed to be the entrant. The “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Potential winner may be required to show proof of being the authorized account holder.
2. Eligibility: This Promotion is open only to legal residents of the 48 contiguous United States and D.C. who are 18 years of age or older as of the Promotion start date, have an active Toluna account and pledge to qualify in 10 surveys each since they registered in the contest.
Void in Alaska, Hawaii and where prohibited. Employees and members of their households and immediate families (spouses, parents, siblings, children and each of their respective spouses) of Toluna and their respective parent companies, subsidiaries, and affiliates, and their advertising and promotion agencies and all local sponsors are not eligible.
3. Privacy: In connection with the Promotion entry process, Sponsor will be collecting personal data about entrants on the Website in accordance with its privacy policy.

By participating in the Promotion, you hereby agree to Sponsor’s collection and usage of your personal information and acknowledge that you have read and accepted Sponsor’s privacy policy. Except where prohibited, participation in the Promotion constitutes your consent to Sponsor’s use of your name, likeness, entry, and state of residence for promotional purposes in any media without further payment or consideration.
4. How The Winner will be Determined: One (1) potential Grand Prize Winner pair (the “Grand Prize Winner”) will be selected in a random drawing from among all eligible entries at the end of the month (I.e. the month when the submission happened), and will be contacted by phone or email on or about three (3) business days following the drawing. Sponsor’s decisions with respect to the winner, these Official Rules, and all other matters pertaining to the Promotion shall be final and binding. A prospective winner may be required to sign an affidavit of eligibility and release of liability and publicity (where permitted), and return same, properly executed, within five (5) days of issuance of prize notification. If Sponsor is unable to contact the prospective winner within three (3) days from first notification attempt, if the prospective winner fails to complete and return all requested forms by the specified date, or if the prospective winner fails to comply with any of the requirements, his/her prize will be forfeited and an alternate prospective winner shall be selected.
If, in the Sponsor’s opinion, there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of the Promotion, or if computer virus, bugs, unauthorized intervention, fraud, or technical difficulties or failures compromise or corrupt or affect the administration, integrity, security, fairness, or proper conduct of the Promotion, the Sponsor reserves the right at its sole discretion to disqualify any individual who tampers with the entry process and void any entries submitted fraudulently, to modify, suspend, or terminate the Promotion, or to conduct a random drawing to award the prizes using all eligible, non-suspect entries received as of the termination date. In the event of a dispute as to the identity of the winner based on an email address, the winning entry will be declared made by the authorized account holder of the email address submitted at time of entry. CAUTION: ANY ATTEMPT BY YOU TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY’S FEES) FROM YOU TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.

6. Prize: The Grand Prize Winner will win the following (the “Grand Prize”): (i) $1,000 (presented in the form of a PayPal transfer) and a $200 check;
All costs, taxes, fees, and expenses associated with the Grand Prize and not specifically addressed above are the sole responsibility of the Grand Prize Winner. All federal, state and local taxes on prizes are the Grand Prize Winner’s responsibility. Grand Prize Winner will be issued a 1099 tax form for the actual value of the respective prize.
The Grand Prize is then to be used to acquire transportation and a hotel room in order to visit the friend (2nd party of the joint group) while the $200 check is to be used for a dinner experience. The Grand Prize may not be used for any services other than the ones specified above.
The Grand Prize consists only of the elements expressly set forth above; no other elements or expenses (including, without limitation, insurance, phone calls, gratuities, incidentals, souvenirs, gasoline, etc.) are included in the Grand Prize and all such expenses are the sole responsibility of Grand Prize Winner. If Grand Prize winner is not legally eligible for travel to the destination, the Grand Prize will be forfeited in its entirety and an alternate winner may be selected
The winner has 60 days to complete their trip (once the rewards have been processed by Incentives) and submit copies of travel tickets and hotel receipts together with a written documentation + photos and videos). Failure to do so will result in an immediate account termination.

ARTICLE III. Registration of Copyright

The rules may be altered at any time under the guise of an amendment by the organizer, in respect of the conditions set out.
The rules will be sent free of charge to any person who addresses a request to Toluna SAS, 1 Bis Rue Collange; 92593 Levallois-Perret Cedex. The stamp required for the request will be reimbursed on request based on the standard ‘letter’ rate in force.

ARTICLE IV. Reimbursement of Charges

Any participant in the competition can obtain on request a reimbursement equivalent to the connection charges, based on five minutes connected at a reduced rate. The reimbursement request should be sent via post to Toluna SAS, along with the participant’s bank account details, proof of address and an extract of a bill from the supplier indicating the date and time of the connection, no more than 30 days after the closing date of the competition, the letter being postmarked by the deadline. The costs incurred by the participant for the stamp necessary for this request will be reimbursed on request based on the standard ‘letter’ rate in force. Only one reimbursement request per participant subscribed to the game and per envelope (same name and same address) will be considered.
However, where the participant is making use of an unlimited internet offer, no reimbursement will be made as the participant has not incurred any extra charges by taking part in the competition.

ARTICLE V. Connection and usage

Participation implicates knowledge and acceptance of the features and limitations of the Internet, the lack of protection of certain data against possible misappropriation and piracy or risk of contamination by viruses circulating on the network. Toluna SAS accepts no responsibility for any misuse or disruption resulting from the use of the computer, Internet access, telephone line or any other technical connection, and for sending any updates to an incorrect or incomplete address.

ARTICLE VI. Litigation and Responsibilities

Participation in this competition implicates the unconditional acceptance of the regulations in their entirety. Any misrepresentation or misleading information, or any fraud will result in disqualification. Toluna SAS will settle any litigation related to the game and its rules. It will not respond to any request concerning the interpretation or application of these rules, mechanisms and modalities of the game and the list of winners, either written or by telephone. Toluna SAS reserves the right for any reason whatsoever to extend or cancel this game.

ARTICLE VII. Presentation of prizes

Toluna SAS cannot be held responsible for any damage, loss or theft that may occur during the delivery of consignments.

ARTICLE VIII. Agreement as to Evidence

Except in cases of obvious errors, it is agreed that the information resulting from Toluna SAS’ game process can be used as evidence in any litigation pertaining to the connection and electronic data processing (EDP) of said information related to the game.

ARTICLE IX. Jurisdiction

Participants unreservedly accept that the mere act of participating in this game submits them to French law, including any litigation that may arise due to the purpose of this contest or that is directly or indirectly related to it, without prejudice to any conflicts of laws that may exist. Any dispute between the parties lies exclusively with the jurisdiction of the Grande Instance de Paris Tribunal.

ARTICLE X. Data Protection

Under Data Protection Act 6 January 1978, art. L.27, participants have the right to access and correct their data. No personally identifiable information will be provided to third parties for any reason whatsoever.
